Governance

Over the years we have systematically formulised our governance to stop wrong decisions to be made:

  1. Decision-Making Structure
  • Who approves acquisitions
  • Who signs off budgets
  • What requires IC-level approval

  1. Investment Committee
  • Directors
  • External commercial advisor
  • Cost consultant
  • Legal oversight

  1. Stage-Gate Controls

(steps at which investment is released, once reviewed):

  • Land acquisition gate
  • Pre-construction gate
  • Contractor appointment gate
  • Funding drawdown gate
  • Exit approval gate

  1. Reporting & Transparency
  • Monthly reports
  • Cost-to-complete tracking
  • Covenant monitoring
  • Variance explanations

  1. Conflict Management

(Conflicts Disclosure)

  • All potential conflicts are disclosed to the investment committee prior to approval of any transaction.

(Related-Party Risk)

  • Transactions involving related parties require independent valuation and IC sign-off before execution.

(Decision Documentation)

  • All material decisions are recorded in meeting minutes with rationale, approvals, and action items retained for audit.
